Terms of Service

These Terms of Service (“Terms”) govern your access to and use of InPractice Health’s platform and services (“Services”).
By using the Services, you agree to these Terms.
1. Eligibility
You must:
- Be at least 18 years old
- Have authority to enter agreements on behalf of your organization
2. Description of Services
InPractice Health provides:
- Data ingestion and integration tools
- Analytics, reporting, and AI-driven insights
- Query and research interfaces
- Data infrastructure for healthcare businesses
3. Customer Responsibilities
You agree to:
- Provide accurate and lawful data
- Obtain all necessary rights and consents
- Comply with HIPAA and applicable laws
- Maintain security of your accounts
You are responsible for:
- All data uploaded or connected
- All actions taken under your account
4. Data Ownership
- Customers retain ownership of their data
- You grant us a limited license to process data to provide the Services
We may:
- Use aggregated and anonymized data to improve the platform
5. HIPAA & Compliance
Where applicable:
- We operate as a Business Associate
- A separate Business Associate Agreement (BAA) governs PHI
6. Acceptable Use
You may not:
- Use the Services for unlawful purposes
- Attempt to reverse engineer or disrupt the system
- Access data without authorization
- Upload malicious or harmful content
7. Intellectual Property
- The platform, models, and software are owned by InPractice Health
- You may not copy, modify, or distribute without permission
Generated outputs:
- Belong to the customer, subject to underlying data rights
8. Service Availability
We aim for high availability but do not guarantee uninterrupted service.
We may:
- Modify, suspend, or discontinue features
- Perform maintenance
9. Fees & Payment
If applicable:
- Fees are defined in separate agreements or pricing plans
- Payments are non-refundable unless stated otherwise
10. Termination
We may suspend or terminate access if:
- You violate these Terms
- Required by law or security concerns
You may terminate at any time per your agreement.
11. Disclaimers
The Services are provided “as is.”
We do not guarantee:
- Accuracy of insights or analytics
- Clinical or medical outcomes
The platform is not a medical device and should not replace professional judgment.
12. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages
- Total liability is limited to fees paid in the prior 12 months
13. Indemnification
You agree to indemnify InPractice Health against claims arising from:
- Your data
- Your misuse of the Services
- Violations of law or these Terms
14. Confidentiality
Both parties agree to:
- Protect confidential information
- Use it only for intended purposes
15. Governing Law
These Terms are governed by the laws of the State of Delaware.
16. Changes to Terms
We may update these Terms periodically. Continued use constitutes acceptance.

18. Additional Agreements
These Terms may be supplemented by:
- Master Service Agreements (MSA)
- Data Processing Agreements (DPA)
- Business Associate Agreements (BAA)
In case of conflict, those agreements take precedence.
